Terms of Service

By accessing or using the Merode platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service. By using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Merode provides an AI-powered property management platform designed for Belgian syndics. Our Service includes: • Intelligent email triage and response automation • Document processing and invoice extraction • Meeting assistance and minute generation • Payment reminder automation • Maintenance coordination • Compliance tracking We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

To use certain features of the Service, you must create an account. You agree to: • Provide accurate, current, and complete information during registration • Maintain and promptly update your account information • Keep your password secure and confidential • Accept responsibility for all activities that occur under your account • Notify us immediately of any unauthorized use of your account We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

Pricing: Our Service is offered on a subscription basis. Pricing is based on the number of buildings managed and the selected plan tier. Current pricing is available at merode.ai/pricing. Billing: Subscriptions are billed monthly or annually in advance. All fees are non-refundable except as required by law. Changes: We may change our fees upon 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing. Taxes: You are responsible for any applicable taxes. We will collect taxes where required by law.

Your Data: You retain all rights to the data you upload to the Service ("Your Content"). By uploading content, you grant us a limited license to process, store, and transmit Your Content solely to provide the Service. Our Responsibility: We will process Your Content in accordance with our Privacy Policy and applicable data protection laws, including GDPR. Data Export: You may export Your Content at any time. Upon termination, we will provide data export capabilities for 30 days. Prohibited Content: You may not upload content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.

Our Service uses artificial intelligence to automate property management tasks. You acknowledge that: • AI-generated responses and actions require your review and approval • The AI may occasionally produce errors or inaccuracies • You remain responsible for all communications sent through the Service • We continuously improve our AI based on anonymized usage patterns For critical communications, we recommend human review before sending.

You agree not to: • Use the Service for any illegal purpose • Violate any applicable laws or regulations • Infringe on intellectual property rights • Transmit viruses, malware, or other harmful code • Attempt to gain unauthorized access to any part of the Service • Interfere with or disrupt the Service or servers • Use the Service to send spam or unsolicited communications • Reverse engineer, decompile, or disassemble the Service • Use automated means to access the Service without our permission

The Service, including all content, features, and functionality, is owned by Merode and is protected by copyright, trademark, and other intellectual property laws. Our name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Merode. You may not use such marks without our prior written permission.

The Service may integrate with third-party services (e.g., email providers, accounting software). Your use of such integrations is subject to the terms and privacy policies of those third parties. We are not responsible for the content, privacy practices, or availability of third-party services.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERODE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

You agree to indemnify, defend, and hold harmless Merode and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Service or violation of these Terms.

Either party may terminate this agreement at any time. Upon termination: • Your access to the Service will be suspended • You may export your data within 30 days • All outstanding fees become immediately due • Provisions that by their nature should survive will continue to apply We may terminate or suspend access immediately, without notice, for any conduct we believe violates these Terms or is harmful to other users or us.

These Terms shall be governed by the laws of Belgium, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of Brussels, Belgium.

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
